Terms of Service

These Terms of Service (“Terms”) govern your use of the Tally Crow platform (“Service”), owned and operated by Tally Crow (“we”, “us”, or “our”). By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree with any part of these Terms, you must not use the Service.

Eligibility

By using Tally Crow, you confirm that you are at least 18 years old and capable of entering into a binding contract. You may use the Service on behalf of a business, in which case you represent that you have the authority to accept these Terms on its behalf.

Description of Service

Tally Crow is a web-based application that allows users to create, manage, and export invoices, credit notes, and basic bookkeeping records. Where you enable it, Tally Crow also lets your clients pay your invoices online through Stripe. In that case you connect your own Stripe account and act as the merchant of record, and Stripe processes the payment under its own terms; Tally Crow does not hold or move those funds itself.

All account and financial data is stored securely via third-party infrastructure partners in the European Union.

User Accounts

To use the Service, you must create an account and provide accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You agree not to share your account or login credentials with others and to notify us immediately if you suspect unauthorised access.

Subscription and Billing

Some features of the Service are available only through a paid subscription. Pricing and feature details are available on our website. All subscriptions are billed via Stripe on a monthly or annual basis, depending on the plan you select.

You may cancel your subscription at any time. Access to paid features will remain available until the end of the billing period.

We reserve the right to change pricing or feature availability with reasonable notice.

Use of the Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service to create false or misleading financial documents
• Attempt to gain unauthorised access to the Service or related systems
• Interfere with the proper working of the platform
• Upload or distribute any malicious code or harmful content

We reserve the right to suspend or terminate your access if you breach these Terms or misuse the Service.

Intellectual Property

All content, branding, and software provided by Tally Crow is owned by us or our licensors. You are granted a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes only.

You may not reproduce, distribute, modify, or reverse engineer any part of the Service without our prior written consent.

Data Ownership

You retain full ownership of the data and content you upload or generate through the platform. By using the Service, you grant us a limited licence to process and store this data solely for the purpose of operating the platform and providing customer support.

We do not claim ownership over your data and will not use it for marketing or analytics purposes without your explicit consent.

Service Availability

We aim to provide a reliable and uninterrupted Service, but we do not guarantee that the platform will always be available or error-free. Maintenance, updates, or unforeseen technical issues may occasionally result in downtime.

Where possible, we will notify users in advance of scheduled maintenance or disruptions.

Limitation of Liability

To the maximum extent permitted by law, Tally Crow will not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability for any claim related to the Service shall not exceed the amount paid by you in the 12 months preceding the claim.

Indemnity

You agree to indemnify and hold harmless Tally Crow, its directors, employees, and partners from any claims, liabilities, damages, or expenses arising from your use of the Service, your content, or your breach of these Terms.

Termination

You may terminate your account at any time by contacting us or using the account settings. We reserve the right to suspend or terminate access to the Service for any reason, including breach of these Terms.

Upon termination, your access to the platform will be revoked, and your data will be handled in accordance with our Privacy Policy.

Governing Law

These Terms are governed by and construed in accordance with the laws of Malta. Any disputes shall be subject to the exclusive jurisdiction of the Maltese courts.

Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or through the Service. Your continued use of the platform after such changes constitutes acceptance of the updated Terms.
